The rules governing your use of the CBMS platform.
By accessing or using the CBMS platform ("Service") you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all of these Terms, do not use the Service. These Terms form a binding agreement between you ("Customer") and CBMS Nigeria ("CBMS").
CBMS provides a multi-tenant SaaS platform that provisions, manages, and bills for business software systems including ERP (Odoo), Point of Sale (UltimatePOS), Offline POS, and other products. We act as your technology partner, not as a party to transactions between your business and your customers.
Trial period: New accounts receive a 30-day free trial with no credit card required. At the end of the trial you must subscribe to continue using the Service.
Billing: Subscriptions are billed monthly in advance in Nigerian Naira (NGN). We use Paystack and Flutterwave as payment processors.
Late payment: If payment fails we will retry for 7 days. After 7 days your account will be suspended. You will have 30 days from suspension to settle outstanding amounts before data deletion.
Refunds: We offer pro-rata refunds for cancellations within 7 days of a renewal payment. No refunds are issued for partial months.
Price changes: We will give at least 30 days notice before increasing subscription prices.
You agree NOT to use CBMS to:
Violations may result in immediate account suspension without refund and referral to law enforcement where appropriate.
You own your business data. CBMS holds it as a data processor on your behalf. We will not access your business data except to provide the Service, respond to support requests authorised by you, or as required by law. On account closure you may export your data free of charge within 30 days.
We target 99.9% monthly uptime for all core platform components. Scheduled maintenance is announced at least 48 hours in advance and performed outside Nigerian business hours where possible. Unplanned outages are communicated via our status page at status.cbms.com.ng.
CBMS and its licensors own all rights to the platform, brand, code, and documentation. Your business data and any customisations you create belong to you. You grant CBMS a limited licence to process your data solely to operate the Service.
To the maximum extent permitted by Nigerian law, CBMS\'s aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the total fees you paid in the 3 months preceding the claim. CBMS is not liable for indirect, incidental, or consequential damages including loss of profit or business interruption.
Either party may terminate at any time with 30 days written notice. CBMS may terminate immediately for material breach of these Terms (including non-payment, illegal activity, or abuse). On termination, access to the Service ends and your data is retained for 30 days pending export, then deleted.
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved by the courts of Lagos State, Nigeria.
We may update these Terms with at least 14 days notice via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
